Client Responsibilities

Successful project outcomes require collaboration. Clients are responsible for:

• Providing accurate and complete project information during the assessment phase
• Timely communication and feedback throughout the project lifecycle
• Providing necessary access to existing systems, APIs, or data as required
• Maintaining confidentiality of proprietary methodologies and consultation details
• Meeting payment terms as outlined in individual service agreements
• Testing and accepting deliverables within agreed-upon timeframes

Intellectual Property

Intellectual property ownership is clearly defined to protect both parties:

Client Ownership

• All custom code, configurations, and deliverables created specifically for your project
• Data, content, and business logic provided by the client

EclairTech Ownership

• Pre-existing intellectual property, methodologies, and frameworks
• General knowledge and experience gained through the engagement
• Reusable components and tools that may be applied across multiple projects

Payment Terms

Our payment structure is designed to be fair and aligned with project delivery:

• Project-based pricing with transparent cost breakdowns
• Payment schedules tied to project milestones and deliverables
• Standard payment terms: Net 15 days from invoice date
• Late payment fees apply for overdue accounts (3% per month)

Confidentiality & Non-Disclosure

We understand the sensitive nature of business information and maintain strict confidentiality:

• All client information, business strategies, and technical details are kept strictly confidential
• No client information is shared with third parties without explicit written consent
• Confidentiality obligations extend beyond the completion of services
• Secure handling of all client data and documentation

Warranties and Limitations

Limitations of Liability

• Liability is limited to 50% of the fees paid for the specific services that gave rise to the claim

Termination

Either party may terminate the engagement under the following conditions:

• For convenience: 30 days written notice. Client will not receive deliverables
• For cause: Immediate termination for material breach of terms. Client will receive all completed deliverables
• Payment due for all services rendered up to termination date

General Provisions

• These terms may be updated periodically with 30 days notice
• Individual project agreements may supplement these general terms
• Disputes will be resolved through good faith negotiation first
• These terms are governed by applicable business law
